With the beginning of 2009 Polish “Commercial
Companies Code” having a business in Poland has
changed in a few regards. Starting from 8th of January
2009 managers will find their life easier.
Some of the modifications are as
follows:
- the amount of share
capital has been reduced: from 50 000PLN to 5000PLN
(for limited liability companies) and from 500 000PLN
to 100 000PLN (for joint-stock companies).
- professional partnership treaty will no longer
has to be stated as a notarial deed. A simple written
form will do.
- in terms of placing a
declarations of will similar comes for capital
companies. From now on, if a sole share holder states a
declaration that surpasses, what is known as an
“ordinary activities”, a written document (no
notarial deed) will be required.
Similarily important are this year's changes in the
Act on Freedom of Economic Activity. The
one-desk-company-registration has finally arrived. No
longer does the entrepreneur have to visit a few
different Offices and place few payments. Starting from
April 2009, if you want to establish a start-up,
depending on its form, you’ll have to visit either
National Court Register or your Commune Office to
submit a registration form.
Let’s be
realistic: even if there’s only one desk to visit you
still will have to invest your time. Nobody says that
one-desk-registration will work smoothly straight away.
But it is a big step forward. The step that we’ve
been all looking for.
